Description: |
| The Contracts Manager will report to the Director of Operations, and be responsible for managing and reviewing standard contracts as they relate to the organization. The Contracts Manager will be responsible for the development and implementation of standard contract processes, and will have experience working in a fast paced growing environment. |
Duties: |
•Establish standard contract procedures for End User License Agreement (EULA), Master Licensing Agreement (MLA), Custom Development, Reseller Agreement, and professional services agreements in support of sales staff
•Perform due diligence in the review of all contracts
•Partner with the Director of Operations and outside legal counsel to coordinate contract negotiations deviating from standard agreements
•Identify and mitigate risk issues in achievement of strategic business goals
•Work closely with and educate the organization’s leaders and staff to improve contract processes and procedures
•Create a standard process to maintain proper documentation of contractual agreements
•Collaborate and develop creative alternatives to mitigate contractual risk
•Ability to negotiate, draft and revise contracts
•Ensure all client contractual documents are entered into Salesforce.com
•Educate leadership and staff on procedures related to risk management
•Identify contract review process improvements and develop user guidelines |
Qualifications: |
•8+ years experience in negotiating and drafting software contracts and agreements
•Experience in and/or knowledge of the software industry
•Proficient in use of Salesforce.com
•Exhibits sound business judgment taking into account business risk versus reward
•Excellent written and oral communications skills
•Must be results-oriented with a high level of integrity and honesty
•Strong leadership skills with the ability to adapt and solve challenges quickly and efficiently
